The shares were sold in the private offering at a price of $1.00 per share and are restricted securities as that term is defined in Rule 144 of the SEC. The funding will enable SDI to complete the final stages of the development of its unique 3rd generation LEKTROX(TM) Wireless Bullet and lead to the establishment of its future production facilities.
